These Terms constitute a legally binding agreement between you (“Client”, “Buyer”, “you”) and RuZhe (“we”, “us”, “our”).
By visiting our website, submitting an inquiry, placing an order, or using any of our Services, you acknowledge that you have read, understood, and unconditionally agreed to these Terms, together with our Payment Policy, Shipping & Delivery Policy, and Privacy Policy. If you do not agree with any part of these Terms, please do not use our website or services.
1. Service Scope
RuZhe provides wholesale sales, sample sales, and personalized customized OEM/ODM services for fashion jewelry products. All services are intended for business wholesale buyers, retailers, and corporate clients. Individual retail consumption is not our primary business scope.
We reserve the right to refuse service, cancel orders, or terminate cooperation with any user for legitimate reasons, including but not limited to fraudulent behavior, repeated malicious disputes, non-payment, violation of transaction rules, and abnormal order behaviors.
2. Account & User Obligations
Users may browse website products freely or submit order information as required. When submitting order information, contacting customer service, or initiating customization cooperation, you agree to provide true, accurate, complete, and up-to-date personal and business information.
You are solely responsible for maintaining the confidentiality of your inquiry information, order records, and communication content. You shall be fully liable for all orders, inquiries, and operations submitted under your contact information. You agree not to use our website for illegal, improper, or commercial malicious behaviors, including data crawling, malicious quotation, fake order placement, and infringement activities.
3. Pricing & Product Information
All product prices displayed on the RuZhe official website are final wholesale prices. All quoted prices exclude shipping fees, handling fees, insurance fees, import duties, taxes, and any other local incidental charges of the destination country.
We strive to ensure the accuracy of product pictures, specifications, sizes, colors, and descriptions on the website. Minor manual measurement errors, slight color differences due to light and display devices, and subtle craft optimizations do not constitute product quality problems or breach of service terms.
We reserve the right to adjust product prices, update product styles, and optimize product parameters without prior notice according to market changes, material costs, and production upgrades. Confirmed orders via official PI will not be affected by subsequent price adjustments.
4. Order Confirmation & Transaction Rules
Small orders and sample orders can be self-submitted and settled directly on our website. Large wholesale orders and customized orders must be confirmed through official customer service communication and formal Proforma Invoice (PI).
All orders are officially valid only after the buyer completes the corresponding payment (full payment or deposit payment) and the payment is successfully credited to our designated account. Unpaid orders do not occupy inventory, do not lock production schedules, and are not binding on us.
The payment terms of all orders shall be subject to our official Payment Policy. Customized orders shall strictly follow the confirmed T/T payment terms (100% advance payment or 30% deposit + 70% balance against B/L copy).
5. Shipping & Delivery Terms
We do not provide free shipping services for any orders. Shipping fees are calculated based on actual order weight, volume, destination, and selected shipping method, including air freight, sea freight, and land freight.
Buyers may choose our official shipping arrangement or use their own designated freight forwarder. All shipping risks, customs duties, clearance fees, and transportation-related expenses shall be borne by the buyer, in accordance with our Shipping & Delivery Policy.
Delivery time is for reference only, affected by production cycle, logistics schedule, weather, and international customs policies. We are not liable for delays caused by force majeure, third-party logistics, or local customs issues.
6. Customized Order Special Terms
All OEM/ODM customized orders are produced according to the buyer’s exclusive requirements, with personalized materials, styles, logos, and craftsmanship. Once production starts, customized orders arenon-refundable and non-cancellable.
We will confirm all customized details, samples, and production parameters with the buyer before mass production. The officially confirmed production standard shall be the sole basis for delivery, and no unreasonable modification or refund request shall be accepted after production.
7. Intellectual Property Rights
All website content, including product pictures, texts, designs, logos, website layout, and copywriting, is the intellectual property of RuZhe. No user may copy, download, reproduce, modify, disseminate, or use our content for commercial purposes without written authorization.
For buyer-provided customized logos, patterns, and designs, the buyer shall guarantee that the provided materials have complete legal intellectual property rights and do not infringe the rights of any third party. We shall not be liable for any intellectual property disputes caused by the buyer’s provided materials.
8. Privacy Protection
All user personal information, business information, order data, and transaction data collected during service use will be protected in accordance with our official Privacy Policy. We will not sell or illegally disclose user private information to any irrelevant third parties.
9. Disclaimer of Liability

We are not liable for any losses caused by users’ failure to provide accurate information, wrong shipping addresses, or wrong order requirements.

We are not responsible for logistics delays, cargo loss, damage, or customs detention after the goods are officially handed over to the logistics provider.

We do not bear any responsibility for user losses caused by force majeure factors including natural disasters, epidemic control, international policy changes, and port shutdowns.

We are not liable for any indirect losses, profit losses, or business interruption losses arising from order transactions within the legal scope.

RuZhe reserves the right to revise and update these Terms of Service at any time without prior notice to adapt to business development and legal requirements. The updated terms will be posted on the official website and take effect immediately. Continued use of our website and services after updates constitutes acceptance of the revised terms.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of China. Any disputes arising from the use of our services or order transactions shall be settled through friendly negotiation by both parties. If negotiation fails, the dispute shall be submitted to the jurisdiction of the local people’s court where RuZhe is located.
